Terms and Conditions

By clicking “I AGREE,” checking a related box, booking or purchasing a Service or Product, or otherwise accepting these Terms and Conditions, you acknowledge that you have read, accepted, and agreed to be bound by these Terms. If you do not agree to these Terms, do not use or access the KINDRED Platform or Services.

1. Acceptance of Terms

1.1. The KINDRED Service. KINDRED is a healthcare and wellness brand operated by GoRocky Medical Inc. (“GoRocky,” “we,” “us,” or “our”). Through the KINDRED Platform and physical clinic, eligible users may access healthcare and wellness services, including consultations, diagnostic and screening services, procedures, preventive services, packages and bundles, and such other services as may be made available from time to time.

Depending on the Service selected, KINDRED may provide clinic facilities, appointment coordination, administrative support, payment processing, and customer support, and may facilitate access to appropriately licensed Healthcare Providers, Partner Facilities, Dispensing Partners, Fulfillment Partners, and other authorized service providers.

Clinical services requiring professional healthcare judgment are provided by the Healthcare Provider attending to the Patient, who exercises independent professional judgment.

1.2. Acceptance. By accessing or using the Platform, creating an Account, booking or purchasing a Service or Product, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

1.3. Definitions

  • Account – means a registered user account created through the Platform for purposes of accessing or using certain Products or Services.
  • Content – the text, graphics, images, photographs, messages, information, software, materials, and other content made available through or in connection with the Platform.
  • Client – The person purchasing, booking, or arranging a Service or Product, who may also be the Patient.
  • Healthcare Provider – A duly licensed physician, nurse, psychologist, nutritionist-dietitian, physical therapist, or other appropriately licensed or authorized Healthcare Provider providing professional healthcare services through or in connection with KINDRED.
  • Dispensing Partner – A duly licensed pharmacy, pharmaceutical outlet, clinic, or other establishment legally authorized to dispense prescription medication.
  • Fulfillment Partner – A third party performing logistics, delivery, order fulfillment, or other support functions.
  • Legacy Transaction – a Service, Product, package, bundle, booking, order, credit, refund request or claim, or other transaction originally entered into with Kindred Health, Inc. before 1 July 2026, and not expressly entered into with or issued by GoRocky Medical Inc.
  • Prescription Medication – prescription medicine prescribed by a Healthcare Provider legally authorized to prescribe the relevant medicine and lawfully dispensed by a Dispensing Partner.
  • Partner Facility – A duly licensed or authorized clinic, laboratory, diagnostic facility, or other healthcare establishment engaged in providing facilities, tests, procedures, or related services in connection with KINDRED.
  • Patient – The person who receives or is intended to receive a healthcare Service.
  • Platform – the KINDRED website, mobile application, and other digital interfaces or systems through which Products, Services, Content, Accounts, bookings, or related functionality are made available.
  • Privacy Policy – KINDRED privacy policy made available through the Platform, as updated from time to time in accordance with applicable law.
  • Product – any healthcare, wellness, diagnostic, pharmaceutical or other health-related product made available through or in connection with KINDRED.
  • Service – any healthcare, wellness, clinic, administrative, digital, consultation, diagnostic, procedure or other service made available through or in connection with KINDRED, whether provided by GoRocky Medical Inc. or, where applicable, a Healthcare Provider, Partner Facility, or other authorized provider.

2. Your Account

2.1. Eligibility and Minors. Eligibility for a particular Service may depend on the Patient’s age, the nature of the Service, applicable law, and the clinical requirements of the relevant Healthcare Provider.

Where parental, guardian, or other legally authorized consent is required, KINDRED may require appropriate proof of authority and consent before the relevant Service is provided.

2.2. Account Registration. You may access or avail of certain Services without creating a KINDRED Account. However, registration of an Account may be required to access, use, or remain eligible for certain Platform features, benefits, Services, or post-availment entitlements that require monitoring, verification, or tracking.

Where an Account is required, you must provide the information reasonably required for registration and keep that information accurate and up to date.

2.3. Account Security. You are responsible for maintaining the confidentiality and security of your Account credentials and for activity conducted through your Account to the extent resulting from your failure to safeguard those credentials.

You must promptly notify KINDRED of any known or suspected unauthorized access to or use of your Account.

2.4. Accuracy of Information. You must provide complete, truthful, and accurate information in connection with your Account and requested Services. KINDRED may suspend or refuse access to a Service where information reasonably necessary for safe or lawful provision of that Service is materially incomplete, inaccurate, misleading, or unavailable.

2.5. Legal Access, Preservation and Disclosure. KINDRED may access, preserve, or disclose Account information and Content where required by applicable law, legal process, or a lawful request of a governmental or regulatory authority, or where reasonably necessary to enforce these Terms, respond to claims concerning third-party rights, respond to customer-service requests, or protect the rights, property, safety, or security of KINDRED, its users, Healthcare Providers, or the public.

2.6. Suspension and Closure. KINDRED may suspend or terminate an Account or access to the Platform where reasonably necessary because of violation of these Terms, fraud or suspected fraud, misuse, non-payment, safety or security concerns, regulatory requirements, discontinuation of the relevant Service, or other legitimate operational reasons.

Suspension or termination does not cancel a completed transaction, discharge amounts properly due for Services or Products already provided, or affect any right or remedy that accrued before suspension or termination.

3. Medical Services and Consultations

3.1. Access to Healthcare Services. KINDRED makes available healthcare and wellness Services through the KINDRED Platform and physical clinic. Depending on the Service selected, these may include consultations, diagnostic and screening services, ultrasound services, clinic-based procedures, contraceptive services, vaccinations, medication administration, packages and bundles, and other Services made available from time to time.

3.2. Access to Healthcare Providers. Professional healthcare services are provided by appropriately licensed Healthcare Providers in accordance with applicable law and professional standards.

3.3. Independent Clinical Judgment. Healthcare Providers exercise independent professional and clinical judgment. KINDRED does not direct or control a Healthcare Provider’s diagnosis, treatment recommendation, decision whether to prescribe Prescription Medication, choice of medication or dosage, decision whether to perform a procedure, or determination that additional testing, referral, or other care is required.

3.4. Healthcare Provider-Patient Relationship. Any professional healthcare relationship arising from a consultation, diagnosis, prescription, treatment, procedure, or other professional healthcare Service exists between the Patient and the Healthcare Provider providing that Service.

GoRocky’s role in operating KINDRED is separate from that professional relationship and includes the Platform, clinic facilities and operations, appointment coordination, administrative support, payment processing, customer support, and other non-clinical services described in these Terms.

3.5. Clinical Eligibility. Booking or purchasing a Service does not guarantee that the Service, procedure, Prescription Medication, or treatment requested will be clinically appropriate or provided. A Healthcare Provider may determine that further assessment, testing, referral, modification of treatment, or other care is required.

3.6. No Guarantee of Outcome. No particular diagnosis, prescription, treatment, procedure, or clinical result is guaranteed.

4. Prescription Products and Fulfillment

4.1. Prescription Required. Prescription Medication may be supplied only where a Healthcare Provider legally authorized to prescribe the relevant medication has issued a valid prescription.

4.2. Dispensing by Licensed Partners. Prescription Medication made available in connection with KINDRED is dispensed only through an appropriately licensed Dispensing Partner.

4.3. Fulfillment Coordination. KINDRED may process and transmit information reasonably necessary to coordinate prescription fulfillment, payment, and delivery with the applicable Healthcare Provider, Dispensing Partner, and Fulfillment Partner, subject to the Privacy Policy and applicable data-protection requirements.

4.4. Prescription Validity and Availability. If a prescription is expired, invalid, inconsistent with the requested Prescription Medication, or otherwise cannot lawfully be fulfilled, the order may be placed on hold or rejected. The Patient may be referred back to the relevant Healthcare Provider for clinical review.

4.5. Changes and Substitutions. KINDRED does not independently alter, correct, substitute, or modify a Healthcare Provider’s prescription. Any clinically relevant change must be made in accordance with applicable law and the professional judgment of the relevant Healthcare Provider and dispensing professional.

4.6. No Dispensing by GoRocky. KINDRED’s facilitation of ordering, payment, or delivery does not constitute dispensing by GoRocky Medical Inc. unless GoRocky is expressly identified as the duly authorized dispensing entity for the particular transaction.

5. Payments and Fees

5.1. Fees and Charges. Before you confirm a purchase, the total applicable price and material payment terms for the Service, Product, package, or bundle will be displayed to you.

5.2. Identification of Provider or Seller. Payments under the KINDRED brand may be collected by GoRocky Medical Inc., an authorized payment processor, or an identified Healthcare Provider, Dispensing Partner, Partner Facility, or other provider, depending on the nature of the transaction. The relevant seller, service provider, dispensing entity, or collection arrangement will be identified through the Platform, invoice, receipt, or other transaction documentation, as applicable.

5.3. Payment Methods. Payments may be made using payment methods made available from time to time, including cash for eligible clinic Services, bank cards, electronic wallets, bank transfers, installment providers, or other approved payment channels.

5.4. Payment Processors. Payments may be processed by third-party payment service providers. Payment credentials may be collected, stored, or tokenized by the applicable provider in accordance with its terms and security requirements. KINDRED may receive transaction information necessary to process and reconcile payment but does not represent that it stores complete card credentials unless expressly disclosed.

5.5. Authorization to Process Payment. By selecting a payment method and confirming a transaction, you authorize the applicable payment processor to process the amount displayed for that transaction in accordance with the selected payment method and the payment processor’s applicable terms.

5.6. Cash Payments. Cash payment may be accepted for eligible Services administered at a KINDRED clinic. Services requiring advance payment will not be provided until the applicable fees have been paid in full.

Cash payments must be made in Philippine Pesos to an authorized KINDRED representative and will be evidenced by the appropriate invoice or receipt required under applicable law.

5.7. Installment and PayLater Methods. Where an installment or PayLater payment option is made available, payment will be subject to the applicable terms of the relevant third-party provider.

5.8. General Payment Rule. Unless otherwise provided in these Terms, the specific terms applicable to a Service or Product, or applicable law, Fees are payable in advance. Fees properly attributable to Services already rendered are generally non-refundable.

6. Appointments, Cancellations, Rescheduling and Refunds

6.1. Cancellation. Unless different cancellation terms are disclosed for a particular Service, cancellation of a scheduled Service must be requested at least twenty-four (24) hours before the scheduled appointment. A cancellation is considered confirmed only upon confirmation by KINDRED.

Cancellation requests received less than twenty-four (24) hours before the scheduled appointment are not eligible for a discretionary refund or cancellation, except as otherwise provided in these Terms or required by applicable law.

Missed appointments for individual Services forming part of a package or bundle are forfeited and must be purchased again, unless otherwise stated in the applicable package or bundle terms.

A request based solely on a Client’s change of preference or change of mind does not, by itself, entitle the Client to an exception from the applicable cancellation or rescheduling terms, without prejudice to any mandatory right under applicable law.

The foregoing restrictions do not apply where the appointment cannot proceed because of KINDRED’s inability to provide the Service, a clinical determination that the Service should not proceed, or circumstances giving rise to a mandatory remedy under applicable law.

6.2. Rescheduling. Unless different terms are disclosed for a particular Service, an appointment may be rescheduled up to three (3) times, subject to availability and the applicable rescheduling fees.

The following rescheduling fees apply:

  • At least twenty-four (24) hours before the scheduled appointment — no rescheduling fee; and
  • Less than twenty-four (24) hours before the scheduled appointment, or if the Client fails to provide prior notice of rescheduling — one hundred percent (100%) of the applicable Service price.

A rescheduling request is considered confirmed only upon confirmation by KINDRED.

A change in Service location is considered a rescheduling request and is subject to the foregoing timelines. The Client is responsible for any applicable difference in the price of the Service. Services purchased under promotions limited to a particular location may not be fulfilled at another location.

Rescheduling fees may be waived where rescheduling is caused by inclement weather, unavailability of the Healthcare Provider, supply shortages, or other circumstances attributable to KINDRED or the relevant provider.

A request submitted through a designated electronic KINDRED support channel is deemed received at the time reflected in that channel’s electronic timestamp, even if the request is processed during later support hours.

All rescheduled appointments remain subject to schedule and provider availability.

6.3. Package and Bundle Appointments. Individual Services forming part of packages or bundles may be rescheduled subject to Section 6.2. Any applicable rescheduling fee will be based on the standalone price of the relevant Service, where separately offered, or the rescheduling fee specifically disclosed for the applicable package or bundle.

6.4. Transfers. A prepaid Service may be transferred only where KINDRED expressly permits the transfer, the Service is not patient-specific, the proposed recipient satisfies applicable eligibility and clinical requirements, and the transfer is otherwise lawful.

Prescriptions, Prescription Medication, laboratory requests or results, personalized treatment plans, and Services already clinically assessed or allocated to a particular Patient are non-transferable unless expressly permitted by the relevant Healthcare Provider and applicable law.

6.5. Late Arrivals and No-Shows. A fifteen (15)-minute grace period applies to scheduled appointments. A Patient arriving after the grace period may be treated as having missed the appointment and be subject to the applicable cancellation and no-show rules.

No-shows are non-refundable. A no-show may result in a strike being recorded against the relevant Patient or Account. A Client may be restricted from receiving further KINDRED Services after three (3) consecutive strikes. Strikes reset after a fulfilled appointment.

6.6. Service Validity. The validity period applicable to a Service, Product, package, or bundle will be disclosed at the time of purchase. Unless a different validity period is expressly disclosed, the following default periods apply:

  • (a) Single-dose vaccinations: three (3) months from purchase;
  • (b) Multi-dose vaccination packages: nine (9) months from purchase. The first dose must be availed within three (3) months from purchase and succeeding doses must be completed within the applicable package validity period, subject to clinical scheduling requirements. Where a vaccination package includes a consultation, the consultation must be availed within the period specifically disclosed for the package or, if no different period is disclosed, within one (1) month from purchase;
  • (c) Standalone consultations: three (3) months from purchase;
  • (d) Packages and bundles: three (3) months from purchase unless otherwise disclosed, with any required initial consultation to be availed within one (1) month unless otherwise stated;
  • (e) Diagnostic, screening and clinic procedures: three (3) months from purchase unless otherwise disclosed; and
  • (f) Prescription Products: subject to the validity period disclosed at purchase and the validity of the applicable prescription.

6.7. Services or Products KINDRED Cannot Fulfill. If a prepaid Service or Product cannot be fulfilled for reasons not attributable to the Client, KINDRED may offer reasonable rescheduling, substitution, or an alternative arrangement. If it cannot reasonably be fulfilled or rescheduled, or an offered alternative is not accepted, the Client will be entitled to a refund of the amount properly attributable to the unused and unfulfilled portion, subject to applicable law.

6.8. Refund Processing. An approved refund will generally be issued through the payment method used for the transaction or another payment channel available to both parties in the Client’s name. The Client must provide information reasonably necessary to process the refund.

6.9. Mandatory Rights. Nothing in these Terms limits any refund, replacement, re-performance, or other remedy that cannot lawfully be excluded or limited.

7. Promotional Codes

7.1. Promotional Codes. KINDRED may, at its discretion, make promotional codes available for discounts, credits, or other benefits, subject to the specific conditions disclosed for the applicable promotion. Unless otherwise stated, a Promo Code may be redeemed only once per Client and each promotional benefit may be redeemed only once per Account.

7.2. Conditions of Use. Promo Codes must be used only by the intended audience and for the intended purpose. Unless expressly permitted, Promo Codes may not be duplicated, sold, transferred, or made available to the general public. Promo Codes are not redeemable for cash, gift cards, or cash equivalents and may be subject to expiration.

7.3. Enforcement and Specific Promotional Terms. KINDRED may reject or disable a Promo Code where it is used contrary to these Terms or the specific conditions applicable to the promotion. Material eligibility requirements, validity periods, exclusions, and other conditions will be disclosed with the promotion. Where specific promotional terms conflict with these Terms, the specific promotional terms govern solely with respect to that promotion.

8. Third-Party Services and Partner Providers

8.1. External Services. The Platform may contain links to third-party websites, services, or content. KINDRED does not endorse and is not responsible for the content of those external services.

8.2. Partner Providers. KINDRED works with Healthcare Providers, Partner Facilities, Dispensing Partners, Fulfillment Partners, laboratories, payment processors, logistics providers, and other authorized service providers in delivering or facilitating Products and Services.

Each provider remains responsible for the functions independently performed by it and for complying with laws, professional standards, and regulatory requirements applicable to those functions.

GoRocky remains responsible for obligations imposed upon it by applicable law in connection with the operation of KINDRED and the Services it itself provides.

9. User Obligations and Acceptable Use

9.1. Capacity and Authority. You represent that you have the legal capacity and authority to accept and comply with these Terms. Where you arrange a Service for a minor or another Patient who cannot legally act for himself or herself, you represent that you have the authority required by applicable law to do so.

9.2. Patient and Client Responsibilities. You agree to:

  • (a) provide complete and accurate identity, medical, health, medication, allergy, and other information reasonably requested in connection with your care;
  • (b) promptly disclose material changes in your health, symptoms, medications, allergies, or medical history;
  • (c) comply with reasonable clinical screening, consultation, testing, and follow-up requirements;
  • (d) use Prescription Medication only in accordance with the applicable prescription and only for the Patient for whom it was prescribed;
  • (e) not sell, transfer, share, or otherwise distribute Prescription Medication;
  • (f) not misrepresent your eligibility for a Service, Product, package, discount, promotion, or benefit;
  • (g) maintain the security and confidentiality of your Account credentials; and
  • (h) refrain from using the Platform or Services fraudulently, unlawfully, or in a manner that interferes with their operation.

9.3. Prohibited Conduct. You must not:

  • (a) use the Platform or Services in violation of applicable law, these Terms, or third-party rights;
  • (b) impersonate another person or misrepresent your identity or affiliation;
  • (c) forge or manipulate identifiers to disguise the origin of Content or communications;
  • (d) attempt to reverse engineer, decompile, disassemble, compromise, hack, or circumvent security measures protecting the Platform;
  • (e) unlawfully harvest or collect information concerning another user;
  • (f) upload or transmit Content that you do not have the right to make available;
  • (g) introduce malicious software, code, viruses, or other material intended to interfere with the Platform or related systems; or
  • (h) infringe KINDRED’s or any third party’s intellectual-property or other rights.

9.4. Violations and Enforcement. A violation of these Terms may result, as appropriate under the circumstances, in restriction of Account privileges, suspension or termination of access, and the exercise of any civil, criminal, or other remedy available under applicable law.

10. Limitation of Liability

10.1. Clinical Decisions. Healthcare Providers remain independently responsible for their professional judgment, diagnosis, treatment recommendations, prescriptions, procedures, and other clinical decisions.

10.2. Platform Information. General information and Content provided by or on behalf of KINDRED are for informational purposes and are not a substitute for individualized medical advice, diagnosis, or treatment from a qualified Healthcare Provider.

10.3. GoRocky Responsibilities. Nothing in these Terms excludes or limits any responsibility or liability of GoRocky that applicable law does not permit to be excluded, including liability arising from GoRocky’s own fraud, willful misconduct, breach of applicable law, or other non-excludable liability.

10.4. Contractual Liability. To the fullest extent permitted by applicable law, GoRocky’s aggregate contractual liability arising from the administrative, Platform, booking, facility, payment-processing, or other non-clinical component of a particular transaction will not exceed the amount actually paid to GoRocky for the particular Service or transaction giving rise to the claim.

10.5. Excluded Losses. To the fullest extent permitted by applicable law, GoRocky will not be liable for indirect, incidental, special, exemplary, or consequential loss arising solely from the use of or inability to use the KINDRED Platform.

10.6. Platform Availability. While KINDRED may take reasonable measures to maintain the Platform, uninterrupted or error-free access cannot be assured.

10.7. Indemnification. To the extent permitted by applicable law, you will be responsible for losses directly arising from your fraudulent or unlawful use of the Platform, intentional violation of these Terms, or infringement of third-party rights.

This provision does not require you to indemnify KINDRED for losses attributable to KINDRED’s own acts or omissions, a Healthcare Provider’s independent clinical conduct, or any matter for which liability cannot lawfully be shifted to you.

11. Intellectual Property

11.1. Ownership. Content made available by or on behalf of KINDRED, including KINDRED’s text, graphics, photographs, designs, software, trademarks, logos, and other proprietary materials, is owned by or licensed to KINDRED and protected under applicable intellectual-property laws.

11.2. Restrictions. Except as expressly permitted by these Terms or by KINDRED in writing, you may not:

  • (a) use KINDRED’s trademarks, service marks, or logos;
  • (b) copy or use proprietary Content other than for your personal use of the Platform or Services;
  • (c) remove copyright or other proprietary notices;
  • (d) sell, transfer, assign, license, sublicense, or modify proprietary Content; or
  • (e) use proprietary Content for an unauthorized public or commercial purpose.

12. Legacy Kindred Health, Inc. Transactions

12.1. Separate Juridical Entities. GoRocky Medical Inc. and Kindred Health, Inc. are separate juridical entities. GoRocky’s acquisition, ownership, licensing, management, operation, or use of the KINDRED brand, Platform, intellectual property, clinic assets, or other selected assets does not, by itself, constitute an acquisition of Kindred Health, Inc. or a general assumption of its debts, liabilities, contracts, claims, refund obligations, or other obligations.

12.2. Specific Assumptions Only. GoRocky is responsible for a Legacy Transaction only to the extent the particular obligation has been expressly assumed by GoRocky, validly transferred to it, separately agreed with the Client, or otherwise imposed upon GoRocky by applicable law.

12.3. Transition Deadline. As a temporary customer-transition accommodation, GoRocky may review and, where applicable, process eligible refund requests relating to Legacy Transactions submitted to KINDRED on or before 11:59 p.m. Philippine Time on September 30, 2026.

A request is timely submitted when KINDRED receives sufficient information by the Transition Deadline to reasonably identify the Client and relevant Legacy Transaction.

12.4. Claims After the Transition Deadline. Except for claims timely submitted before the Transition Deadline and remaining under review or processing, GoRocky will no longer accept new refund requests arising solely from Legacy Transactions after September 30, 2026.

Beginning October 1, 2026, a new refund or other monetary claim arising solely from a Legacy Transaction must be pursued against Kindred Health, Inc., except to the extent the particular obligation has been expressly assumed by GoRocky or applicable law provides otherwise.

12.5. Transitional Assistance; No Admission or Novation. GoRocky’s review, processing, payment, fulfillment, replacement, crediting, customer support, or other accommodation of any Legacy Transaction does not, by itself:

  • (a) constitute a general assumption of Kindred Health, Inc.’s debts or liabilities;
  • (b) constitute a substitution or novation of GoRocky as debtor for obligations of Kindred Health, Inc.;
  • (c) release Kindred Health, Inc. from obligations for which it remains responsible; or
  • (d) constitute an admission by GoRocky that it is legally responsible for any other Legacy Transaction.

13. Privacy and Data Protection

13.1. Privacy Policy. GoRocky, operating under the KINDRED brand, processes personal data in accordance with the Data Privacy Act of 2012, its implementing rules and regulations, applicable issuances of the National Privacy Commission, and the KINDRED Privacy Policy.

13.2. Health Information and Processing Purposes. Information concerning a Patient’s health, medical history, treatment, prescriptions, diagnostic results, and related matters may constitute sensitive personal information. Such information will be processed only for applicable lawful purposes and legal bases, including purposes reasonably necessary to facilitate consultation, treatment, prescription fulfillment, payment, delivery, Service administration, regulatory compliance, and other purposes disclosed in the Privacy Policy.

13.3. Data Sharing. Where necessary for requested Products or Services, relevant personal data may be disclosed to Healthcare Providers, Partner Facilities, Dispensing Partners, Fulfillment Partners, laboratories, payment processors, logistics providers, and other authorized recipients, subject to applicable data-protection requirements.

Where processing requires consent under applicable law, such consent will be obtained separately or through an appropriate consent mechanism.

Personal data disclosed to third parties will be limited to information reasonably necessary for the applicable purpose and will be subject to appropriate privacy, confidentiality, and security requirements.

14. Dispute Resolution

If you have a complaint relating to a Product, Service, or transaction, you should first submit it through KINDRED’s customer-support or complaint-handling channels. KINDRED will process complaints through its internal redress mechanism in accordance with applicable law.

Nothing in these Terms prevents you from exercising any right to lodge a complaint or seek relief from the Department of Trade and Industry, Department of Health, Food and Drug Administration, National Privacy Commission, Professional Regulation Commission, or any other governmental or regulatory authority having jurisdiction.

15. Governing Law and Jurisdiction

15.1. Applicable Law. These Terms are governed by the laws of the Philippines.

15.2. Jurisdiction. Subject to Section 14 and applicable procedural and consumer-protection laws, any court proceeding arising from or relating to these Terms shall be brought before an appropriate Philippine court having jurisdiction.

16. Miscellaneous

16.1. Entire Agreement. These Terms, together with the Privacy Policy, any specific terms disclosed in connection with a Service, Product, package, promotion, or transaction, and any other agreement or policy expressly incorporated by reference, constitute the agreement applicable to the relevant transaction.

Where specific terms applicable to a particular Service, Product, package, promotion, or transaction conflict with these general Terms, the specific terms govern solely with respect to that subject matter.

Nothing in this Section supersedes any informed consent, medical consent, prescription, treatment documentation, or other document required by applicable healthcare law or professional standards.

16.2. Modification of Terms. KINDRED may update these Terms from time to time. Material changes will be posted through the Platform or otherwise communicated as required by applicable law. Unless required by law or more favorable to the Client, a material change will not retroactively increase the price or materially alter the agreed commercial terms of an existing completed purchase, package, or fixed-term arrangement without the Client’s agreement. Updated Terms otherwise apply prospectively from their stated effective date.

16.3. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect to the extent permitted by applicable law.

16.4. Survival. Any provision which by its nature is intended to survive termination or expiration of these Terms, including provisions concerning limitation of liability, intellectual property, Legacy Transactions, dispute resolution, and accrued rights and obligations, will survive to the extent applicable.

16.5. Assignment and Delegation. GoRocky may engage duly authorized third parties to perform operational, administrative, fulfillment, payment-processing, customer-support, or other functions. Such engagement does not, by itself, release GoRocky from an obligation owed to a Client under an existing transaction.

16.6. No Waiver. A failure or delay by KINDRED in exercising any right under these Terms does not constitute a waiver of that right. Any waiver applies only to the specific circumstance for which it is given.

16.7. Assignment. A Client may not assign or transfer rights or obligations under these Terms without KINDRED’s prior written consent. Subject to applicable law, GoRocky may assign or transfer its rights or obligations in connection with a merger, reorganization, sale or transfer of relevant business or assets, or to an affiliate or successor, without reducing any mandatory rights available to the Client.

16.8. Force Majeure. KINDRED will not be liable for delay or temporary failure to perform to the extent directly caused by circumstances beyond its reasonable control that could not reasonably have been prevented or overcome. If a prepaid Product or Service ultimately cannot be fulfilled, the Client’s rights will be determined under Section 6 and applicable law.
